Terms of service

These Terms of Service (the "Terms") are an agreement between TaskQo (together with its Affiliates, "TaskQo", "we", "us" or "our") and you. They set out the conditions under which you may access and use the TaskQo websites, desktop and mobile apps, browser extensions, APIs and related services (together, the "Service").

Please read these Terms carefully before you start using the Service. By creating an account, installing an app or otherwise using the Service, you agree to be bound by these Terms, our Privacy policy and the other documents that form part of the Agreement. If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind it, and "you" refers to that organization. If you do not agree to the full Agreement, you must not access or use the Service.

1. Definitions

  • "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where "control" means owning more than 50% of the voting interests.
  • "Agreement" means these Terms, our Privacy policy, any order form, our Data Processing Agreement ("DPA") and any other policy we reference, each as updated from time to time.
  • "Customer" means the organization or individual that creates a TaskQo workspace and pays for the Service.
  • "Customer Data" means all data submitted to, or captured by, the Service on the Customer's behalf, including Workforce Data.
  • "Member" means a team member, contractor or other individual the Customer invites to or enrolls in its workspace.
  • "Workforce Data" means screenshots, screen recordings, call and meeting audio, transcripts, app and URL usage, activity levels, shift, attendance and pay records, and AI verdicts and summaries generated about a Member's work.
  • "Personal Data", "Process", "Controller" and "Processor" have the meanings given in applicable Data Protection Laws.
  • "Data Protection Laws" means all privacy and data protection laws that apply to Processing under the Agreement, including the EU and UK General Data Protection Regulation and the California Consumer Privacy Act, as amended.

2. Your account and license to use the Service

Subject to these Terms and payment of applicable fees, TaskQo grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for its internal business purposes, for the number of Members covered by its plan.

Each seat is for one named individual. Seats may not be shared, but you may reassign a seat when a person leaves your organization. You are responsible for keeping login credentials confidential and for all activity that happens under your account. Please tell us promptly at security@taskqo.com if you suspect unauthorized access.

You may not rent, lease, lend, resell, sublicense or otherwise provide the Service to third parties, unless your plan expressly allows it (for example, an agency plan) or we agree in writing.

TaskQo is built for transparent, consent-first workforce monitoring. Because the Service captures information about how Members work, the Customer agrees to:

  • give Members clear notice of what is captured, why, and for how long, before any capture begins;
  • obtain and record consent, or rely on another valid legal basis, wherever the law requires it, using TaskQo's in-app consent flow where available;
  • configure capture settings, redaction rules and retention periods so they are proportionate to a legitimate business purpose;
  • not use the Service to monitor anyone outside working time, covertly, or in any way prohibited by employment, labor, wiretapping, call-recording or privacy laws; and
  • obtain consent from every participant before enabling call or meeting recording wherever the law requires all-party consent.

Members can see their own timelines, and the Customer can review and correct AI verdicts. Verdicts, transcripts and summaries are assistive signals. The Customer remains responsible for decisions it makes about Members and must not rely on AI output as the sole basis for decisions with legal or similarly significant effects without meaningful human review.

4. Installation, customization and updates

You are responsible for installing the desktop and mobile apps on devices you control and for keeping them on a supported version. We may update the Service at any time, including by automatically updating apps, to fix defects, improve security or add features. We will not materially reduce the core functionality of a paid plan during your current subscription term. Some features require a supported operating system or device permissions (such as screen recording or microphone access) and will not work without them.

5. Plans, fees and billing

Fees are set out on our pricing page or in your order form and are billed in advance, monthly or annually, per Member. Subscriptions renew automatically for the same period unless you cancel before the renewal date. Members added mid-term are billed pro rata; Members removed mid-term are reflected from the next renewal unless your plan states otherwise.

Fees exclude taxes, which you are responsible for (other than taxes on our income). We may change our prices with at least 30 days' notice, and the change will apply from your next renewal. If payment is overdue, we may suspend the Service after giving you notice. Free plans and trials are provided as-is and may be changed or withdrawn at any time.

6. Term, suspension and termination

These Terms begin when you first use the Service and continue until your account is closed by you or by us. You can cancel at any time from your billing settings. We may suspend or terminate your access immediately if you materially breach these Terms, use the Service unlawfully, fail to pay, or if suspension is necessary to protect the Service, other customers or Members.

When the Agreement ends, your right to use the Service ends. You may export Customer Data for 30 days after termination; after that we delete it in line with our retention schedule unless the law requires us to keep it. Provisions that by their nature should survive termination (including ownership, payment, disclaimers, limitations of liability, indemnities and governing law) will survive.

7. Proprietary nature of the Service

The Service, including its software, models, designs, documentation and all improvements, is owned by TaskQo and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights. You must not, and must not allow anyone else to:

  • copy, modify, translate or create derivative works of the Service;
  • reverse engineer, decompile or disassemble the Service, except to the extent the law expressly permits;
  • circumvent security features, capture controls or usage limits;
  • access the Service to build a competing product or service; or
  • remove or alter any proprietary notices.

8. Use of data

The Customer owns Customer Data. The Customer grants TaskQo a worldwide, limited license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Service, and as described in the Privacy policy and DPA.

We may create aggregated, de-identified data that cannot reasonably be linked to the Customer or any individual, and use it to operate and improve the Service. We do not sell Customer Data, and we do not use Workforce Data to train general-purpose AI models made available to other customers.

Customer Data is stored in TaskQo storage, encrypted for the Customer's organization. We may disclose information where required by law or to protect rights and safety, as described in the Privacy policy.

9. Third-party services and links

The Service may integrate with third-party products such as Slack, Discord and cloud AI providers. Your use of those products is governed by their own terms, and we are not responsible for them. By enabling an integration, you authorize us to exchange data with that provider as needed to run it. We may stop supporting an integration if the provider changes or withdraws its service. Links to third-party websites are provided for convenience only and do not imply endorsement.

10. Customer content and acceptable use

You are responsible for Customer Data and for how your Members use the Service. You agree not to use the Service to:

  • break any law or infringe anyone's rights, including intellectual property and privacy rights;
  • upload malware or interfere with the integrity or performance of the Service;
  • harass, discriminate against or unlawfully profile any individual;
  • monitor anyone's private life, legally protected activity (such as union activity) or special category data except as the law permits; or
  • attempt to access accounts, systems or data you are not authorized to access.

We may remove content or suspend accounts that violate this section, and we terminate the accounts of repeat infringers.

11. Intellectual property rights

Trademarks

The TaskQo name, logo and related marks are trademarks of TaskQo. Nothing in these Terms grants you any right to use them without our prior written permission.

Site contents and copyright

The text, graphics, images, video, software and other content on our websites, and their arrangement, are protected by copyright and other laws. You may view, download and print website content for your own non-commercial use only. You may not copy, modify, republish or redistribute it for commercial purposes.

Copyright and trademark complaints

If you believe content available through the Service infringes your copyright or trademark, email legal@taskqo.com with a description of the work, where the infringing material appears, your contact details, and a statement that your notice is accurate and made in good faith by the rights holder or someone authorized to act for them.

12. Disclaimer of warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TASKQO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI VERDICTS, TRANSCRIPTS, SUMMARIES OR CALCULATIONS (INCLUDING ATTENDANCE AND PAY) WILL BE ACCURATE OR COMPLETE. YOU SHOULD REVIEW OUTPUTS BEFORE RELYING ON THEM.

13. Data protection and indemnification

For Personal Data of Members and other individuals Processed through the Service, the Customer is the Controller and TaskQo is the Processor (or "service provider" under the CCPA). Our DPA, available on request at legal@taskqo.com, forms part of the Agreement and sets out each party's data protection obligations.

To the fullest extent permitted by law, the Customer will defend, indemnify and hold harmless TaskQo, its Affiliates and their officers, directors, team members and agents from any third-party claims, regulatory fines, losses and costs (including reasonable legal fees) arising from the Customer's failure to give notice, obtain consent or otherwise comply with Data Protection Laws, employment laws or recording laws in its use of the Service.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, HOWEVER CAUSED; AND (B) TASKQO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TASKQO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to liability that cannot be limited by law, or to the Customer's payment obligations and indemnities.

15. Consent to electronic communications

By using the Service, you agree to receive communications from us electronically, including by email and in-app notices. Agreements, notices and other communications we provide electronically satisfy any legal requirement that they be in writing. You can opt out of marketing emails at any time, but service, billing and security notices will continue while you have an account.

16. International transfers of Personal Data

TaskQo and its service providers may Process data in countries other than the one where you are located, which may have different data protection laws. Where required, we rely on appropriate safeguards such as the European Commission's Standard Contractual Clauses. Where the Customer selects regional processing, we Process data within that choice to the extent the feature supports it.

17. No rights granted; non-assignability

These Terms do not grant you any right, title or interest in the Service or TaskQo's trade secrets beyond the license described above. You may not assign or transfer the Agreement without our prior written consent, except to a successor in a merger or sale of substantially all of your assets, with notice to us. We may assign the Agreement to an Affiliate or in connection with a merger, acquisition or sale of assets.

18. Miscellaneous provisions

  • Governing law. The Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.
  • Jurisdiction. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from the Agreement, and both parties consent to that jurisdiction. Either party may seek urgent injunctive relief in any competent court.
  • Severability. If any provision is found invalid or unenforceable, the rest of the Agreement remains in effect and the provision will be interpreted to best reflect the parties' intent.
  • No waiver. Failing to enforce a right is not a waiver of that right.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Entire agreement. The Agreement is the entire agreement between the parties about its subject matter and replaces any prior agreements on it.

19. Suggestions and feedback

We welcome feedback about the Service. If you share ideas or suggestions with us, we may use them for any purpose without obligation or compensation to you, but we are not required to use them.

20. Cancellation and refunds

You can cancel your subscription at any time from your billing settings or by emailing support@taskqo.com with the subject line "Cancel". Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees already paid are non-refundable except where the law requires otherwise or where our support team decides a refund is appropriate (for example, a duplicate charge).

21. Changes to these Terms and legal notice

We may update these Terms from time to time. If we make a material change, we will notify you by email or in the app at least 15 days before it takes effect. If you do not agree to the updated Terms, you should stop using the Service before they take effect; continuing to use it means you accept them.

Messages sent through our website, live chat or support form are not legal notice. Legal notices to TaskQo must be sent by email to legal@taskqo.com.

22. Eligibility

To use the Service you must: (i) be at least 18 years old and able to enter into a binding contract; (ii) complete account registration with accurate, complete and current information; (iii) agree to the Agreement; (iv) not be located in a country subject to a comprehensive U.S. government embargo; and (v) not appear on any U.S. government list of prohibited or restricted parties. We may refuse service, close accounts or change eligibility requirements at any time.

23. Compliance with laws

You represent that your use of the Service will comply with all applicable laws and regulations, including Data Protection Laws, employment and labor laws, export control and sanctions laws, and anti-corruption laws. You are responsible for deciding whether the Service is suitable for your use in light of your legal obligations. Unless we agree otherwise in writing, you must not use the Service to Process regulated health information or payment card data.

You also confirm that you have, and will maintain, every permission, notice and lawful basis needed for TaskQo to collect and Process Customer Data on your behalf. You agree to indemnify TaskQo for any losses, including reasonable legal fees, that result from a breach of this section.
